1. Acceptance of these Terms
These Terms of Service ("Terms") govern your access to and use of windsorbetts.com (the "Site") and any transaction conducted through Windsor Betts, Windsor Betts Art Brokerage, Windsor Betts Gallery or Miratio LLC ("Windsor Betts," "we," "us"). The Site is operated by Miratio LLC, a New Mexico limited liability company.
By accessing the Site or engaging with us through any related channel, you agree to these Terms. If you do not agree, please do not use the Site or our services.
2. About us
Windsor Betts has served private collectors and estates since 1988, specializing in works by Native American and Southwest artists. We operate as an art brokerage rather than a primary representation gallery, which means our role is to facilitate the placement of works between sellers and collectors. The Site presents works currently available through Windsor Betts and provides information about the gallery, the artists we handle and the process of buying or placing a work with us.
3. Eligibility and accuracy of information
You must be at least 18 years old to make a purchase or enter into any transaction with us. By engaging with us you confirm that the information you provide is accurate and that you have the authority to provide it.
4. Permitted use of the Site
You may use the Site to browse our inventory, request information about specific works, contact us about consignment or arrange a transaction. You may not:
• Use the Site for any unlawful purpose or in violation of these Terms.
• Attempt to gain unauthorized access to any part of the Site or to any account or system related to the Site.
• Reproduce, distribute, modify or create derivative works from any content on the Site without our prior written permission, except as expressly permitted in Section 5 below.
• Use any automated means (scrapers, bots, crawlers) to access or extract content from the Site, except for legitimate search engine indexing.
• Submit false or misleading information through any form on the Site.
5. Intellectual property
All content on the Site, including text, graphics, logos and the design and arrangement of the Site, is owned by Windsor Betts or used with permission and is protected by copyright and trademark laws, along with other applicable laws.
Images of artworks shown on the Site depict works that we are presenting for sale or have presented in the past. These images are made available for the purpose of marketing the works. The underlying copyright in the artworks themselves remains with the artist or the artist’s estate. You may not reproduce or use these images for commercial purposes without our prior written permission. Where the underlying copyright belongs to a third party, you may also need permission from that copyright holder.
6. Inventory and pricing
We make reasonable efforts to keep information on the Site accurate and up to date, including descriptions of works, dimensions, mediums, attributions and pricing. We do not guarantee that all information is free of errors. If a material error occurs with respect to a work you have inquired about or attempted to purchase, we will notify you and either correct the information, offer to proceed at the corrected terms or cancel the transaction.
Prices are quoted in United States dollars. Prices may change at any time without notice prior to a confirmed sale. Inventory is subject to prior sale and we cannot guarantee availability of any particular work at any given time.
7. Inquiries and reservations
Submitting an inquiry or expressing interest in a work does not constitute a binding offer to purchase. A sale is only confirmed once we have agreed terms with you in writing and received payment in accordance with Section 8.
8. Payment
For online purchases through the Site, payment is processed through Stripe, which accepts Visa, MasterCard, American Express and Discover.
For transactions arranged directly with us, we accept the following methods:
• Credit card by phone or in person, processed through Heartland (Global Payments). Cards accepted: Visa, MasterCard, American Express and Discover.
• Wire transfer.
• Check.
• Cash, for in-person transactions.
Sale is confirmed only upon receipt of full payment in cleared funds. For wire transfers and checks, "cleared funds" means the funds have been confirmed as received and cleared without return by our bank.
9. Taxes
New Mexico gross receipts tax and any other applicable state or local taxes will be added to the purchase price as required by law. For shipments outside New Mexico, applicable tax obligations are handled in accordance with current law.
10. Shipping and returns
Shipping arrangements and return conditions are governed by our Shipping & Returns Policy, which forms part of these Terms. The gallery’s position on authentication of works is also set out there.
11. Disclaimers
The Site is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Windsor Betts disclaims all warranties of any kind with respect to the Site itself, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.
Nothing in this Section limits or excludes any warranty or representation that we make in connection with a specific work we sell, including the authentication position set out in our Shipping & Returns Policy.
12. Limitation of liability
To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Site or any transaction with you is limited to the amount you have paid to us under the relevant transaction. We will not be liable for indirect, incidental, special, consequential or punitive damages, including loss of profits or loss of opportunity.
13. Indemnification
You agree to indemnify and hold Windsor Betts harmless from any claim, demand, loss or expense (including reasonable attorneys’ fees) arising out of your breach of these Terms or your misuse of the Site.
14. Dispute resolution and governing law
In the event of any dispute arising out of these Terms or any transaction between you and Windsor Betts, the parties agree to first attempt to resolve the matter informally and in good faith through direct discussion. If informal resolution is not reached within sixty (60) days of written notice of the dispute, either party may pursue the matter in the state courts located in New Mexico, which will have exclusive jurisdiction.
These Terms are governed by the laws of the State of New Mexico, without regard to its conflict-of-laws principles.
15. Changes to these Terms
We may update these Terms from time to time. The effective date at the top of the Terms indicates when they were last revised. Continued use of the Site after a revision constitutes acceptance of the updated Terms.
16. Severability and entire agreement
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force. These Terms, together with our Privacy Policy and our Shipping & Returns Policy, constitute the entire agreement between you and Windsor Betts with respect to the use of the Site.
